Terms of Service

Welcome to Vendor Ghosted ("Service", "we", "us", or "our"). By registering for an account or using our Service, you agree to comply with and be bound by these Terms of Service. Please read them carefully.

1. Description of Service

Vendor Ghosted is a software-as-a-service (SaaS) application designed to automate professional email follow-ups for unpaid or overdue invoices. The Service integrates with your Gmail account to draft and send reminders based on configurable timelines. Vendor Ghosted acts as a helper layer and is not an invoicing or payment collections agency.

2. Eligibility and Account Registration

To use our Service, you must:

• Be at least 18 years of age and capable of forming binding contracts.
• Provide accurate and complete registration information during account creation.
• Maintain the security of your password and credentials (managed via Clerk). You are responsible for all activities that occur under your account.

3. Integration and Authorized Access

To use the core features of Vendor Ghosted, you must connect your Gmail account via Google OAuth. By connecting your account, you grant us permission to:

• Draft and send emails from your personal or work Gmail address.
• Access metadata and content of email threads related to your sent invoice follow-ups to process client responses and manage follow-up states.

You retain full ownership of your email accounts and are responsible for all communications sent using the Service. We reserve the right to suspend accounts that use our Service to send spam, phishing attempts, or unauthorized materials.

4. Subscription Billing and Cancellations

Certain features are restricted based on your chosen tier (Free, Solo, or Agency). By subscribing to a paid plan, you agree to the following terms:

• Billing Cycle: Subscriptions are billed in advance on a recurring monthly basis via Stripe.
• Limits and Overages: Plan limits (such as active invoices, automated sending capabilities, and team seat counts) are enforced programmatically. If you exceed plan limits, your ability to create new tracking items may be temporarily locked until you upgrade.
• Cancellation: You can cancel your subscription at any time through our Stripe portal link in your settings. Upon cancellation, your access to paid features will remain active until the end of the current billing cycle.
• Refunds: All payments are non-refundable, except as required by law or specified otherwise during promotional periods.

5. Acceptable Conduct

You agree not to use Vendor Ghosted to:

• Send harassing, offensive, or illegal communications to your clients.
• Harass, threaten, or defraud any individual or business.
• Impersonate another individual or business in a misleading manner.
• Reverse engineer, exploit, or disrupt the operation of Vendor Ghosted's servers, databases, or application logic.

6. Limitation of Liability and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. VENDOR GHOSTED DOES NOT GUARANTEE THAT:

• Your clients will pay their invoices as a result of using the Service.
• The Service will be uninterrupted, secure, or free from minor errors.
• Chaser drafts generated by AI will be free of contextual inaccuracies (we strongly encourage reviewing all drafts prior to sending or setting up strict auto-send guidelines).

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENDOR GHOSTED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES arising out of or in connection with your use of the Service, including but not limited to lost profits, unpaid client invoices, or loss of email delivery reputation.

7. Modifications to Terms

We reserves the right to modify or update these Terms of Service at any time. We will notify you of any material changes by updating the "Last updated" date of these Terms. Your continued use of the Service after changes are posted constitutes acceptance of those changes.
