Terms of Service

Welcome to Vendor Ghosted ("Service", "we", "us", or "our"). By registering for an account or using our Service, you agree to comply with and be bound by these Terms of Service. Please review them carefully.

1. Service Scope

Vendor Ghosted provides an automated communications layer designed to facilitate invoice follow-ups for freelancers, agencies, and small businesses. The Service connects with your Google Workspace account to draft and dispatch follow-up emails on configurable escalation cadences. Vendor Ghosted is an automated messaging orchestration layer, not a debt collection agency or legal representation service.

2. Account Registration and Credentials

To use our Service, you must:

• Be at least 18 years of age and possess legal capacity to enter binding contracts.
• Provide accurate and complete account registration information.
• Maintain the security of your authentication tokens and account credentials. You are responsible for all communications initiated through your account.

3. OAuth Authorization and Inbox Permissions

Operating core features requires connecting your Google Workspace account via OAuth 2.0. By authorizing connection, you grant us permissions to:

• Dispatch authenticated emails directly from your verified Google address.
• Inspect email thread metadata related to tracked invoice recipients to detect replies and halt downstream sequences.

You retain complete ownership of your Google Workspace account and are responsible for ensuring your outreach complies with applicable communications regulations (including CAN-SPAM, CASL, and GDPR). Accounts utilized for spam or deceptive outreach will be terminated immediately.

4. Subscriptions, Tier Limits, and Cancellation

Platform capabilities are segmented by tier (Free, Solo, and Agency):

• Billing Cycle: Paid plans are billed in advance on a recurring monthly basis via Stripe.
• Enforcement of Tier Limits: Active invoice allowances, team seats, and automated sending permissions are enforced programmatically. Exceeding limits will prompt an upgrade before new invoices can be queued.
• Cancellation: You may cancel anytime via the Stripe billing portal in your account settings. Paid tier access remains active through the end of the current prepaid billing period.
• Refunds: Payments are non-refundable except where mandated by local consumer protection statutes.

5. Acceptable Usage Guidelines

You agree not to utilize Vendor Ghosted to:

• Transmit unlawful, defamatory, harassing, or fraudulent communications.
• Misrepresent payment terms, accrued interest, or balances contrary to executed agreements.
• Impersonate legal counsel or official court notices in jurisdictions where you are not licensed to practice.
• Attempt to circumvent rate limits, security tokens, or infrastructure protections.

6. Warranties and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. VENDOR GHOSTED DOES NOT GUARANTEE THAT:

• Recipients will remit payment or respond to delivered emails.
• Email deliverability will remain unimpacted by external Google reputation algorithms.
• AI draft suggestions will be completely error-free without user review.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VENDOR GHOSTED SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING UNCOLLECTED RECEIVABLES, CLIENT RELATIONSHIP DISPUTES, OR TEMPORARY SERVICE INTERRUPTIONS.

7. Amendments to Terms

We reserve the right to modify these Terms of Service. In the event of material revisions, we will update the date header above. Continued usage following updates constitutes agreement with amended terms.
